Healthcare

Mandate

Orbit was mandated in exclusivity to help a Tier 1 Private Equity fund approach the management team of a global ophthalmology operator, in an attempt to pre-empt a potential transaction.

Delivery

Orbit and the deal team aligned on a research roadmap to source Senior Advisors who could provide insight and expertise into each deal angle. Orbit granularly mapped the historical management teams of each relevant company within the ecosystem, giving the client an exhaustive overview of profiles available. This led to the selection, vetting and introduction to the best available candidates on the market. The deal team eventually engaged five Senior Advisors who were heavily involved throughout the process, including interactions with the company's management team and the client’s Investment Committee.

Outcome

After over nine months of work, our client completed a large majority investment ahead of any formal sale being launched. Two of the Senior Advisors retained pre-acquisition went on to join the Board of the company as Non-Executive Directors.

Industrials

Mandate

Orbit was mandated in exclusivity by a $10bn Private Equity fund to build a bench of Senior Advisors who could help the deal team carve out the large subsidiary of a global chemicals business.

Delivery

Following granular sector research, Orbit mapped the entire historical management teams of all benchmark organisations and proactively reached out to the most relevant profiles. Following a thorough vetting process, a selection of Senior Advisors who could help address due diligence questions and build an ambitious value creation plan was shared with the deal team which retained two of them for further collaboration.

Outcome

With assistance from the Senior Advisors’ input and recommendations, the deal team was able to create unique access to the seller and craft a proprietary control transaction. The Senior Advisors remained involved alongside the deal team throughout the entire transaction process, as well as post-transaction to help implement the value creation plan.

Technology

Mandate

Orbit was approached and mandated by a large-cap US buyout fund to explore potential investment opportunities in the education technology space.

Delivery

The deal team wanted to identify and secure high-calibre industry Senior Advisors who could help craft an investment thesis in the space, as well as shortlist relevant targets. Over the course of eighteen months of work, Orbit carefully identified, vetted and selected the best operators in the market, eventually leading to sixteen introductions to the deal team. Two of these advisors were formally engaged and supported the fund in formalising an investment thesis as well as selecting a future industry winner they actively targeted together.

Outcome

The fund was able to pro-actively reach an agreement with the target, leading to a multi-billion control investment in the higher education technology space.

Financial services

Mandate

Orbit was mandated in exclusivity to support a leading European mid-cap fund in a highly competitive process to win the management team of a high growth financial services company.

Delivery

Orbit worked closely with the deal team to define key value creation angles for the business, and subsequently identified best-in-class Senior Advisors around each of these angles. Orbit's introductions to vetted Senior Advisors over a period of four weeks led the deal team to formally engage two executives. The Senior Advisors were involved throughout the deal process, interacted with the company's management team and helped the deal team evaluate all key growth opportunities identified.

Outcome

After over six months of work, our client was selected by the management team as the preferred bidder and acquired a large minority stake. Post-transaction, the two retained Senior Advisors remained close to the company and continued to advise on key value creation initiatives.

Consumer

Mandate

Orbit was exclusively mandated to support a Mid-Market Private Equity fund with the assessment of the European Pet Food and Supplements market through a bench of Senior Advisors who could provide an experienced perspective of the space and help them build conviction around their target asset.

Delivery

Following a targeted exercise around European players, Orbit shared insight into the structure of various businesses in the space while identifying top executive churn in the industry. By carefully vetting and bringing forward the former leadership of both niche disruptors and leading players, we delivered a comprehensive bench to the investment team allowing them to strengthen their understanding of the space as well as their investment strategy.

Outcome

With the support of our advisors, the team successfully completed the acquisition. The advisors they have collaborated with throughout the due diligence process now sit on the board of their new portfolio business, providing our client with continued support and insight as they now focus on post-deal value creation.

Infrastructure

Mandate

Orbit was mandated in exclusivity by CVC DIF to support on the acquisitions and subsequent merging of CTC Moyson, S-P-S International, and HiSERV, creating one of the largest GSE leasing and service providers in Europe.

Delivery

Orbit and the deal team collectively defined the ecosystem of interest and the various profiles of executives who would be most valuable to the diligence work. After conducting detailed research into specific value creation angles for the targets, Orbit secured a global 'silver-bullet' executive from the relevant airport service provider space who helped define the requirements for an effective combination of the three companies and is supporting the execution of that go-forward value creation plan post-completion.

Outcome

Following 8 months of work, our client won the bid processes and is in the midst of creating an industry leader with nearly 12,000 GSE units at 30 airports.

Business Services

Mandate

Orbit was exclusively mandated by a European Private Equity fund to support the due diligence of a potential acquisition—a leading global diamond certification player. The focus included assessing operational strengths, growth potential, and regulatory challenges, with particular attention to the Indian diamond certification space and the rapidly growing lab-grown diamond sector. The Orbit Partners Business Services team was tasked with assembling a bench of advisors to provide guidance on due diligence and value creation post-acquisition.

Delivery

Orbit conducted comprehensive research, identifying key industry leaders and advisors from diamond certification competitors, lab-grown diamond players, customer-facing retailers. Following a detailed vetting process, a group of Senior Advisors was presented to the fund. The Orbit team adapted to the evolving needs of the project, quickly expanding the scope to include senior executives with deep expertise in the Indian diamond certification space. These advisors were instrumental in assessing regulatory risks and growth opportunities within these sectors.

Outcome

The Senior Advisors played a crucial role in the due diligence, offering valuable insights that enabled the Private Equity fund to evaluate risks and shape its strategic direction. One advisor remained on post-deal, supporting the executive team as an advisor to help guide the company through its next phase of growth, particularly in the lab-grown diamond sector.
